VALUE HEALTH RENEGOTIATES STOCK-SWAP BUYOUT

Value Health Inc. renegotiated terms of its agreement to buy Diagnostek Inc. yesterday after Diagnostek posted a fourth-quarter loss. The stock swap is now valued about $420 million, down from about $502 million on March 27 when the agreement was disclosed. The transaction would combine two large pharmacy-benefits managers that distribute drugs and negotiate lower pharmaceutical prices. Each of Diagnostek's 24.2 million shares would be exchanged for 0.4975 share of Value Health, instead of 0.55 share. The shares of Value Health, based in Avon, Conn., were up $1.50 yesterday, at $34.875, on the New York Stock Exchange, while Diagnostek fell $1.125, to $16.875.

LADBROKE SELLS ITS CORPORATE CENTER FOR $163 MILLION

Ladbroke Group P.L.C., the British betting, hotel and property company, said yesterday that its United States unit had sold the Bay Colony Corporate Center to Shorenstein, a real estate company based in California,, for $163 million. Bay Colony, a three-building office center in the suburbs of Boston, generated a net rental income of $8.6 million in 1994. Ladbroke said the office center was the largest property in its portfolio, and the sale "bodes well for our efforts to dispose of other United States properties." Shorenstein initially paid Ladbroke $40 million. Of the remainder, $75 million would be paid in December and $48 million in December 1998. (Bloomberg Business News)

MORRISON KNUDSEN TO SELL ITS WESTERN AIRCRAFT UNIT

The financially beleaguered Morrison Knudsen Corporation said yesterday that it had agreed to sell its Western Aircraft Inc. unit to two Wyoming investors as part of its plan to focus on its core engineering and construction business. Morrison Knudsen said it would receive several million dollars from the sale of the aviation maintenance company, but it did not disclose a specific amount. Morrison Knudsen, based in Boise, Idaho, said it planned to sell its nine million shares of Western Aircraft to Al Hilde, owner of Satellite Aero Inc., based in Jackson, Wyo., and Allen Hoyt, Aero's president.

Europeans Seek Access to Japan's Market

The European Union recognizes that Japan is working to eliminate regulations that block access to its markets but feels the country could do more at a faster pace, Sir Leon Brittan, the union's trade commissioner, said today. Sir Leon also repeated a warning against excluding European companies from any accord that Japan reached with the United States concerning foreign access to the Japanese market for autos and auto parts. Officials from Washington and Tokyo will resume talks aimed at resolving the trade conflict on June 12.

International Briefs; British Airport Profit

The pretax profit for BAA P.L.C., the British airport operator, rose 13.7 percent in the year that ended on March 31 as the number of people passing through its airports and stores increased 7.1 percent, to 87.7 million. The pretax profit was $:366 million ($581.94 million), up from $:322 million a year earlier but at the lower end of analysts' estimates. BAA said its revenue rose 5.6 percent, to $:1.16 billion ($1.85 billion).

Software Units Gain Attention

Stocks of most big software companies rose yesterday as investors bet that I.B.M.'s $3.3 billion plan to buy the Lotus Development Corporation would lead other companies to pursue weak software companies. The Standard & Poor's software stock index, which tracks the performance of 10 software stocks including Lotus, rose 5.49 points, to 206.40.

Welsh Water P.L.C. said its international water and sewage unit had bought an additional 20 percent of ScVK, the Czech Republic's largest water and sewage company, giving Welsh a total holding of 35.6 percent. Welsh Water, which provides water and sewage service to Wales, said it had now invested $:7.4 million ($11.8 million) in the Czech company, which serves 1.2 million customers in northern Bohemia. Welsh Water, like many of Britain's 10 other water companies that became privately owned in 1989, has branched out extensively in recent years.

International Briefs; S.A.S.-Thai Air Accord

Scandinavian Airlines System and Thai Airways International signed a cooperation agreement yesterday that includes code-sharing on all routes between Scandinavia and Thailand. Code-sharing allows one airline to sell tickets for routes that are actually operated by the partner. The agreement was called a "triangular cooperation" by Jan Stenberg, S.A.S.'s chief executive, because it complements one that both carriers signed with Lufthansa German Airlines in the last year.

Water Contract For Puerto Rico

The Air and Water Technologies Corporation said this week that one of its units had received a five-year, $500 million contract to manage the water and waste-water treatment system of Puerto Rico. The company's Professional Services Group will manage the day-to-day operations of the system, while the Puerto Rico Aqueduct and Sewer Authority will manage the financing of the system and other activities.

G.M. Said to Plan a Philippine Car Plant

Manila, Tuesday, June 6 The General Motors Corporation plans to set up a $1 billion car plant in Subic Bay, a former American naval base 50 miles northwest of Manila, newspapers here reported today. Quoting Rosario Estacio, the director of the Government's board of investments, the reports said the plant, with a capacity of 100,000 to 150,000 cars a year, would export its production to neighboring countries. If it goes through, General Motors' Philippine plant would be its third in the Asia-Pacific region, alongside plants in Australia and Thailand.
