Judge Chides CNN in Contempt Trial Over Noriega Conversations

In a criminal-contempt case against CNN, defense lawyers said today that the network believed it was not defying a Federal judge when it broadcast prison phone calls by the former Panamanian strongman, Manuel Antonio Noriega. But that defense appeared not to impress Judge William M. Hoeveler of Federal District Court, the judge who barred the broadcasts in 1990. He told CNN's lawyers that they had not completely understood his ban or the issues surrounding it, at one point asking, "Have you read the law recently on that subject?"

CNN Head Says He Did Not Purposely Defy Judge in Noriega Case

The president of CNN said today that although he personally made the decision in 1990 to broadcast a recording of a prison telephone call by Gen. Manuel Antonio Noriega, he did so on the advice of his lawyers without having seen a copy of a Federal judge's warning to the network not to make the recording public. In a criminal contempt proceeding against the network, CNN's president, Tom Johnson, testified that he did not intentionally defy the order by Judge William M. Hoeveler.

STRUCTURAL DYNAMICS STOCK PLUMMETS 36%

Shares of the Structural Dynamics Research Corporation plunged 36 percent yesterday, after the company said it had uncovered false sales in its Asian operations. Structural Dynamics, an engineering software company based in Milford, Ohio, said it expected to report a third-quarter loss of 15 cents to 25 cents a share and would restate its results. A senior vice president responsible for Asian sales was dismissed. The false sales "went back into 1992, but most of it happened in 1993," the company's chairman and chief executive, Ronald J. Friedsam, said. The company discovered the false sales when it noticed a shortage of cash at the end of the third quarter. Shares of Structural Dynamics fell $2.75, to $4.875, in Nasdaq trading.

Raytheon Merging 2 Aircraft Units

The Raytheon Company said today that it would combine two divisions to form the Raytheon Aircraft Company in a consolidation that will cost 940 workers their jobs. The company is merging the Beech Aircraft Corporation and Raytheon Corporate Jets, which makes the Hawker line of business aircraft. The new company, to be called the Raytheon Aircraft Company, will have annual sales of $1.7 billion.

FOOD DISTRIBUTOR'S STOCK PLUNGES ON PROJECTION

The stock of the Performance Food Group Company plummeted almost 33 percent yesterday, after the company said it expected third-quarter profits to fall from last year's $1.2 million level. Shares of Performance Food fell $7.50, to $15.375, in Nasdaq trading. The projected earnings for the quarter include a charge of about $180,000, or 3 cents a share, for a loss on the disposition of an investment in a minority-owned subsidiary that was sold by its principal owner last month. Performance Food, based in Nashville, distributes food products to restaurant chains.

LEAR SEATING AGREES TO ACQUIRE UNIT OF FIAT

The Lear Seating Corporation said yesterday that it would acquire the automotive seat-making business of Fiat S.p.A. for $160 million. Lear, based in Southfield, Mich., said it had signed a letter of intent with Gilardini S.p.A., a Fiat subsidiary, to purchase its SEPI S.p.A. unit. SEPI is the primary supplier of automotive seating systems to Fiat, the Italian auto maker. Lear is to begin making seats for Fiat in Europe with the 1995 model year. Shares of Lear rose 12.5 cents, to $18.125, on the New York Stock Exchange. SEPI produced seats for more than a million vehicles in 1993 and had sales of about $350 million. It has eight production operations in Italy.

UGI OFFERS TO BUY REMAINING PETROLANE SHARES

The UGI Corporation said yesterday that it had offered to buy the remaining 65 percent stake of Petrolane Inc. that it did not already own for $99.3 million in cash. Class B stockholders of Petrolane, a leading propane distributor, would get $14.50 a share for each of their 6.8 million shares. UGI, a utility and marketer of propane based in Valley Forge, Pa., said it intended to combine Petrolane and propane assets from its Amerigas Propane Inc. subsidiary into a new limited partnership whose majority holder would be Amerigas. Class B Petrolane stock last traded on Monday at $10.75. The thinly traded issue did not trade yesterday or Tuesday.

SLOAN'S SUPERMARKETS IN TALKS TO SELL SOME STORES

Sloan's Supermarkets Inc. said yesterday that it was in talks with an unidentified party to sell some of its 11 supermarkets in New York City. The grocery retailer, based in New York, said it had not reached a definitive agreement yet for a sale. The stores are among the 32 Sloan's Supermarket stores purchased between 1991 and 1993 by Designcraft Industries Inc., which changed its name to Sloan's. Sloan's stock rose 25 cents yesterday, to $4.75, on the American Stock Exchange.

QUAKER OATS TO OFFER 2-FOR-1 STOCK SPLIT

The Quaker Oats Company said yesterday that it would split its stock 2 for 1 and increase its quarterly dividend to 57 cents a share from 53 cents. The maker of Quaker Oats cereals and Gatorade sports drinks has increased its quarterly dividend 5 cents a share in each of the last two years. Shares of Quaker Oats, which rose as high as $82.375 yesterday on speculation that the company was a takeover target, closed at $81.375, up $2.125, on the New York Stock Exchange. The new dividend will be paid Oct. 14 to shareholders of record on Sept. 21. Quaker Oats, based in Chicago, plans to distribute the new shares on Dec. 5 for each share held on Nov. 9.

AMERICA WEST AIRLINES' FLIGHT ATTENDANTS TO JOIN UNION

Flight attendants for America West Airlines Inc. voted yesterday to join the Association of Flight Attendants A.F.L.-C.I.O., a union that represents about 35,000 attendants at 22 airlines, in a sign that employees' unrest is mounting despite management's promises to raise wages. The vote came three weeks after America West emerged from bankruptcy with one of the strongest financial positions in the airline industry. During America West's three years under Chapter 11 protection, its employees took pay cuts and agreed to wage freezes to help keep the carrier flying. Now, industry experts and those involved in the bankruptcy have said they fear labor problems could derail the company's turnaround.
